Terms of Service
PyLatam.org or PyLatam is a digital platform as described in the definitions, operated by <PyLatam S.A de C.V>>>.

Hereinafter you will find the Terms and Conditions applicable to all registered Users who perform operations. This describes the general Terms and Conditions ("Terms and Conditions or T&C") applicable to the use of the service offered for the operation of event organization.

Any person who wishes to access and/or use the digital platform and its services may do so subject to the General Terms and Conditions, together with all other policies and principles that govern PyLatam and are incorporated herein by reference.

Please read the following Terms and Conditions of Service (hereinafter referred to as T&C), as they contain conclusive information regarding your rights and obligations as a User; ignorance of what is contained herein does not exclude responsibility or scope.

(i) By registering as a User, these Terms and Conditions are tacitly consented to on the understanding that pursuant to the said article "consent may be express or implied, to which end the following shall apply:
I.- It will be expressed when the will is manifested verbally, in writing, by electronic or optical means, or by any other technology, or by unequivocal signs and
II - The tacit will result from facts or acts that presuppose it or that authorize to presume it, except in the cases in which by law or by agreement the will is going to manifest itself expressly to you", reason why in the understanding that you carry out the generation of a Registered User, it will be sufficient for your consent to be given expressly and the use of the digital platform will be a tacit manifestation of your consent.
Any person who does not accept these General Terms and Conditions, which are mandatory and binding, must refrain from using the site and/or the services. Use of the site and acceptance of these Terms and Conditions will have the same legal force as an autograph signature and may be eligible as evidence in court in case of dispute.

FIRST - Definitions
The following words shall be construed as described for purposes of understanding these Terms and Conditions.
a. Characteristics of the tickets handled by PyLatam: The tickets must indicate, as a minimum; name, cost, quantity on sale, maximum number of tickets per sale and range of availability dates.
d. Methods of payment by buyers: Buyers may choose to pay by credit or debit card, at Oxxo stores, PayPal, physical ticket, non-referenced deposit, deposit to Friendly Vallarta account.
c. General: PyLatam acknowledges that Friendly Vallarta may act on its behalf to collect the total amount of the purchased ticket including applicable taxes, and agrees to act as a sales agent. Friendly Vallarta, in the performance of its assignment, will receive all amounts paid by the Users and will deliver to PyLatam the remainder after retaining the agreed consideration. The latter with the taxes corresponding to the applicable tax regulation.
d. Invoicing: All invoicing relating to the sale of tickets to buyers will be made by Friendly Vallarta directly to buyers. 
e. Service Limitations: The service is limited to providing the tools and allowing the use of the digital platform in the ways PyLatam allows. PyLatam is not a banking or financial institution and therefore none of the services contained herein should be understood as such. All operations carried out through PyLatam will be deemed to have been carried out in Mexico. Friendly Vallarta will only accept transactions in Mexican pesos or U.S. dollars.
f. Buyers: Refers to Users who use the digital platform to buy tickets for an event, where PyLatam will assign a registered User that will only be activated at its discretion, however, the purchase-sale, acquisition or reservation of a ticket will suffice for a User to be tacitly considered a buyer.
g. Chargebacks: A chargeback is a mechanism created by the Bank of Mexico, which allows resolving any dispute over charges made to a credit or debit card. It is a way to protect the cardholder from possible charges made without his consent.
h. Digital Platform: Refers to the system for buying and selling tickets hosted at https://www.pylatam.org
i. Users: Any person who uses and/or navigates the Digital Platform, whether a buyer or a tourist.
j. Registered User: Buyers who registered a username and password to access the Digital Platform.
k. Service: Event organization system controlled and offered through the Digital Platform, which allows direct control over ticketing, prices, financial management of events, and facilitates users to collect and purchase tickets, save tickets digitally, streamline the registration of event attendees and promote events.

SECOND: Personality, Address, Description and Scope of Service.
(i) PyLatam México S.A de C.V. is a Variable Capital Company (ii) with domicile at <DOMICILIO>, (iii) that operates the services provided through the Digital Platform (iv) where a system is housed that facilitates the publication of the event, as well as the purchase and sale of tickets.

THIRD: Eligibility
The Digital Platform aims to be used only by adults, any use made by a minor is strictly prohibited. By accessing the Site, Users affirm and guarantee to be of legal age to contract and to be in full use of their faculties and capacities. By the simple fact of being a User of the Digital Platform it is manifested that he/she is of legal age and with the capacity to contract.

FOURTH Territory
Services rendered by PyLatam shall be understood as services rendered in the Mexican Republic regardless of where they were originated or requested.

FIFTH. General
Users accept all PyLatam privacy and security terms.

SIXTH: Acceptance of the terms of condition.
a. Users accept the Terms and Conditions contained herein.
b. The Terms and Conditions are consented at the moment of generating a Registered User.
c. Users acknowledge the formality of this writing and the scope of the obligations even though they are of a digital nature.
SEVENTH Terms and Conditions of Use.
a. The User acknowledges that the use of the Digital Platform does not grant him/her any property rights over it, any of its elements or contents, as well as any of the exploitation rights that exist or may exist over the Digital Platform or the Contents.
b. All the Contents are property of PyLatam or of third collaborators, without it being possible to understand that the use or access to the Digital Platform attributes to the User any right over them.
c. Any unauthorized use of the Digital Platform under these Terms and Conditions will be punished by conventional payment in favor of PyLatam, of 100,000.00 (ONE HUNDRED THOUSAND PESOS M.N. 00/100).
d. PyLatam reserves the right to perform the actions it is entitled to to verify compliance with the Terms and Conditions.
e. The Contents and advice expressed in the Digital Platform should be understood as indicative, so PyLatam is not responsible in any way for the effectiveness or accuracy of them, being exempt from any contractual or extra-contractual liability.
EIGHTH Payments.
a. For effects of these Terms and Conditions the Parties agree that all the payments in relation to the acquisition of tickets will have to be made on the part of the Buyers in any of the models of payment contemplated for the event.
NINTH: Disclaimer of liability.
a. PyLatam is not responsible for cancellation of the event and / or lack of ticket buyers for the event, it is the responsibility of the Buyers to validate the status of the event for which they purchased or will purchase tickets.
b. In the event of cancellation of the event, PyLatam will contact the buyers to inform them of the fact within a period not exceeding 48 (forty-eight hours) from the date of the cancellation and/or modification of the event.
c. PyLatam is not responsible for any cost, damage or harm caused by cancellation or postponement of the event.
d. PyLatam will not be responsible for any loss or damage caused to the clients of the event, derived from the fact that as established in these Terms and Conditions.
e. If the event is cancelled, PyLatam will not reimburse any of the parties for the sale of the ticket. 
f. PyLatam is not responsible for the lack of liquidity of the event to make such return of funds in the event that does not comply with the above will proceed with the corresponding legal action.
g. PyLatam is authorized in this act to provide contact details with attendees and follow up before the competent authorities and instances in case of any claim and / or conflict of interest.

Tenth. Chargebacks.
Pursuant to Article 23 of the Law for Transparency and Regulation of Financial Services, a Chargeback is generated when a cardholder contacts their bank directly to notify that they do not recognize a charge made to their credit or debit card. At that time, the issuing bank (cardholder's bank) creates a chargeback request for the transaction. For this reason, PyLatam will proceed as follows:
a. Prior to the event any transaction that has a Chargeback status will be cancelled from the event account, PyLatam will not be responsible for such request.
b. PyLatam will not be responsible for Chargebacks, so the corresponding operating rules will apply.
c. PyLatam shall have the right to validate any purchase.

10.1 Chargeback Prevention.

PyLatam implements anti-fraud systems in all transactions with Credit or Debit Cards, prior to the realization of the event PyLatam may cancel any unilateral transaction that has inconsistencies in the payment or that has a chargeback dispute, however, PyLatam does not guarantee the absence of fraudulent charges, as a consequence, Chargebacks could be caused in the payments.
The User accepts that if 10% or more of the purchases made for his/her event were made with cards with theft or loss notices or with cards that make chargebacks, the event will be suspended or cancelled from PyLatam's platform, without any responsibility for PyLatam.
PyLatam will be able to close the card sale up to 3 days in advance if required.
10.2. Truthfulness.
PyLatam does not control or interfere with the existence of Chargebacks. The only ones legally authorized to issue Chargebacks are Banking Institutions, therefore, PyLatam recognizes that any notification of Chargeback is issued by Banking Institutions, if necessary PyLatam will provide the documentation provided by the intermediary instance that notified PyLatam of such Chargeback.
10.3 Security Retentions.
In the event that a Chargeback is generated, Friendly Vallarta acknowledges and accepts that PyLatam subtracts the corresponding amount to cover it.
10.4 Resolution
PyLatam does not have any type of authority or participation in case of Contracargo and must comply with any resolution issued by the competent Authorities. PyLatam is not responsible for losses caused. 

ELEVENTH. Taxes.
All taxes generated by the use of the Digital Platform shall be covered respectively by the Party giving rise to the generating fact. PyLatam, for the purposes of these Terms and Conditions, is an intermediary in the relationship between the hotel Friendly Vallarta and the Buyer. Therefore, in the handling of all funds related to payments made for the purchase of tickets, PyLatam shall have the right to withhold only the amount that corresponds to it for the payment of the conference, this being its only consideration and the hotel Friendly Vallarta shall be obliged to pay the corresponding taxes for the amount that is delivered.

TWELFTH. Account, Passwords and Security
a. To register as a Registered User, you must provide real information including: Full name and email address. Such data must match the data with which the User registered.
I. PyLatam will send an identity verification email to the email provided. The User must open this email and follow the instructions contained therein.
II. The Registered User hereby accepts and acknowledges that any notification or contact that PyLatam needs to make with him, will be made through the e-mail provided, so PyLatam disclaims any liability arising from misuse of the e-mail account or lack of monitoring and review that the Registered User of the e-mail account provided.
b. PyLatam will assign to the Registered Users a User Name, it will be the responsibility of the Registered User to choose his Password.
c. The User Name and Password serve as identification in the system and are used to authenticate the identity of the Registered User.
d. For purposes of these Terms and Conditions, the Registered User consents to use his User name and password as an equivalent to his autograph signature, so, for all purposes, each time the Registered User formalizes the generation of an event, or makes the purchase of a ticket, through the use of his User name and password, the chosen work model will be formalized.
e. The Registered User is responsible for all accesses to pylatam.org with his or her User ID and Password and therefore any access made on behalf of the Registered User's User ID and Password will be considered as made by the Registered User without prejudice to the fact that the access was made by a third party that the Registered User authorized.
f. The Registered User is responsible for protecting and securing his/her User ID and Password. In the event that the Registered User becomes aware or believes that there has been any security violation, such as theft or unauthorized use of your User ID and Password, or any information in your PyLatam account must immediately notify PyLatam.

THIRTEENTH. Personal Data.
The data provided will be treated in accordance with the Federal Law on the Protection of Personal Data in Possession of Individuals and its Regulations, therefore, by accepting these Terms and Conditions accept our Privacy Notice: www.PyLatam.com/politica-de-privacidad. The confidentiality of data is guaranteed and they are protected by administrative, technical and physical security measures to prevent damage, loss, alteration, destruction, use, access or improper disclosure. Only persons authorized by PyLatam will have access to your data. All the information will be kept in the mentioned address of each Party and the data will be in charge of the signatories.

FOURTEENTH. Code of Conduct.
You agree that you are authorized to use the Digital Platform only for the purposes described in these Terms and Conditions. The User accepts that he/she is fully responsible for his/her activities during the use of the Digital Platform and that he/she will be responsible for all risks with respect to the use of the Digital Platform. The User agrees not to use the Digital Platform to engage in any prohibited conduct.
i. It is strictly forbidden to harass any User, through spam, messages with offensive content, threats, sexism, discrimination either because of race, gender, place of origin.
ii. It is forbidden to disseminate false information or personify or impersonate a person other than the one who made the User registration.
iii. Any conduct that incites physical, mental or emotional violence or the commission of any crime or unlawful act is prohibited.
iv. The redistribution of advertisements published on other websites, as well as the unauthorized publication of material protected by intellectual property laws such as trademarks, copyrights and other information and/or data without the prior consent of the owners is prohibited.
v. The information entered by an Organizer, is not the responsibility of PyLatam, being them the only responsible about the veracity reason why it is suggested that never provide personal information such as telephone numbers, addresses, surnames, URL's or email addresses that is not where it was explicitly requested in the registration and / or profile section.
vi. It is forbidden to send, enter or execute any information, program or sequence containing viruses, Trojan horses, worms, time bombs, Easter eggs or other computer programming routines that may damage, negatively interfere with, intercept or expropriate any system, data or personal information; inject or introduce a link directly or indirectly to any other website unless explicitly requested by a PyLatam form.
vii. Interfering with or disrupting the Service or the Digital Platform or servers or networks connected to the services, transmitting or introducing any material containing software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any software or telecommunications hardware or equipment. Make a "frame" or "mirror" copy of any part of the Service, or code without our prior written permission; modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile any part of the Service, code or any software used on the Digital Platform.
viii. In general, Users may not use any existing or invented device, software or routine that interferes with or hinders the proper functioning of the Digital Platform and are obliged not to use reverse engineering, decompilation or disassembly techniques, nor to modify, translate the WEBSITE, since it enjoys the protection established by industrial and intellectual property laws and treaties.
x. Users will cooperate with PyLatam to denounce any person who breaches the Code of Conduct. PyLatam reserves the right to report to the competent authorities any conduct that endangers the safety, health and/or life of any person, User or Non-User.

FIFTEENTH. International Uses.
For all purposes any use that is given to the Digital Platform will be considered made in Mexican territory, any use outside the territorial circumscription of the Mexican Republic, will be permitted, however, will be taken as made in this territory.

SIXTEENTH. Modification and Suspension of the Service.
a. PyLatam reserves the right to modify at any time and without prior notice to the User the Contents, image, information, configuration and in general any part or aspect related directly or indirectly to the Digital Platform.
b. PyLatam, without prior notice, may suspend the Service to Users who have violated the Terms and Conditions.
c. PyLatam, without prior notice, may suspend the Service to Users in order to maintain the Digital Platform.
d. PyLatam may add and/or modify the Terms and Conditions of Service without prior notice. c. PyLatam may suspend the Service to Users in order to maintain the Digital Platform. d. PyLatam may, without prior notice, add and/or modify the Terms and Conditions of Service.
e. PyLatam, without prior notice, may cancel events on the page or reserve the right to provide services to Users who have violated the Terms and Conditions.
